Terms of Service.

These Terms of Service ("Terms") govern your use of the MyCallPath.ai communications platform ("Service") provided by Centuric LLC ("Centuric," "we," "us"). By creating an account, purchasing a subscription, or using the Service, you agree to be bound by these Terms.

Plain-English summary

We provide cloud-based phone, SMS, and conversation-intelligence services. You agree to use the Service lawfully, pay your bill, and keep your account secure. We agree to deliver the Service with reasonable care, protect your data per our Privacy Policy, and give you advance notice of material changes.

1. The Service

MyCallPath.ai is a hosted unified communications platform that may include voice calling, SMS and MMS messaging, video conferencing, virtual fax, call recording, voicemail transcription, and AI-driven conversation analytics. Specific features available to you depend on the subscription plan you purchase.

The Service is delivered through carrier infrastructure operated by Centuric and its underlying communications providers. Service availability targets, when offered, are described in your Order Form or applicable Service Level Agreement.

2. Your Account

You are responsible for the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@centuric.com if you suspect unauthorized access. Centuric is not liable for losses resulting from your failure to maintain credential security.

You represent that you are at least 18 years old, authorized to bind your organization to these Terms, and that the information you provide is accurate and current.

You agree not to use the Service to:

Centuric may suspend or terminate your account immediately and without refund if we reasonably believe you have violated this section, with or without prior notice depending on severity. We may also disclose abuse-related information to law enforcement when required.

4. E911 and Emergency Calling

Important — read this carefully

VoIP emergency calling has limitations that traditional landlines do not. You must keep your registered service address current at all times, ensure your devices have power and internet connectivity, and inform every user that 911 may not function during outages.

5. Phone Numbers and Porting

Phone numbers assigned to you through the Service remain the property of the underlying carrier and are licensed to you for the duration of your subscription. You may port numbers in and out subject to industry porting rules and any outstanding balances.

Numbers ported into the Service typically remain portable; however, certain toll-free or specialty numbers may have restrictions. We will cooperate with reasonable port-out requests provided your account is in good standing.

6. Call Recording, Transcription, and AI Features

The Service offers call recording, voicemail transcription, and AI-driven conversation analytics. You are solely responsible for compliance with all applicable wiretapping, eavesdropping, and consent laws in the jurisdictions where you and your call participants are located.

Several U.S. states (including California, Florida, Pennsylvania, and others) require all-party consent before a call may be recorded. You agree to obtain any consent required by law and to configure the Service in a manner consistent with those requirements.

AI-generated outputs (transcripts, summaries, sentiment scores) are produced algorithmically and may contain errors. You agree not to rely on AI outputs as a sole source of truth for legal, medical, or compliance decisions.

7. Fees, Billing, and Taxes

You agree to pay all fees specified in your Order Form or current published pricing, including recurring subscription fees, usage-based charges (such as overage minutes, SMS volume, or international calling), add-on services, and applicable taxes, surcharges, and regulatory fees.

Subscription fees are billed monthly in advance unless otherwise agreed. Usage-based charges are billed in arrears. Payment is due upon receipt of invoice. Past-due balances may accrue interest at the lesser of 1.5 percent per month or the maximum rate permitted by law.

You authorize Centuric and its payment processor to charge the payment method on file for all fees. Failure to maintain a valid payment method may result in suspension of the Service.

8. Term, Renewal, and Termination

Your subscription begins on the activation date and continues for the term specified in your Order Form, renewing automatically for successive periods of the same length unless either party gives at least 30 days written notice of non-renewal.

You may terminate for material breach by Centuric that remains uncured for 30 days after written notice. Centuric may terminate for your material breach (including non-payment past 15 days, violation of the Acceptable Use Policy, or fraud) immediately upon notice.

Upon termination, your access to the Service ends. You may request export of your call detail records, recordings, and transcripts for up to 30 days following termination, after which we may delete your data in accordance with our Privacy Policy.

9. Service Levels and Disclaimers

We will use commercially reasonable efforts to keep the Service available, but the Service is provided "as is" and "as available". Except as expressly stated in a Service Level Agreement, Centuric makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted service.

The Service depends on third-party networks, carriers, and infrastructure. Centuric is not liable for outages or degradation caused by factors outside our reasonable control, including but not limited to internet failures, carrier outages, force majeure events, and customer-side network or hardware failures.

10. Limitation of Liability

To the maximum extent permitted by law, Centuric's aggregate liability for any claim arising out of or relating to the Service or these Terms is limited to the fees paid by you to Centuric in the twelve months preceding the event giving rise to the claim.

In no event will Centuric be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Centuric and its officers, employees, agents, and underlying carriers from any third-party claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service, (b) your violation of these Terms or applicable law, (c) content transmitted through your account, or (d) your failure to obtain required consents for call recording or messaging.

12. Confidentiality and Data Protection

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own, but no less than reasonable care. Our handling of personal data and payment data is governed by our Privacy Policy, which is incorporated by reference.

If you are a Covered Entity or Business Associate under HIPAA and require a Business Associate Agreement, contact us at compliance@centuric.com before transmitting protected health information through the Service.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email to the account administrator at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Broward County, Florida, and both parties consent to exclusive personal jurisdiction in those courts.

15. Miscellaneous

These Terms, together with any Order Form and the Privacy Policy, constitute the entire agreement between you and Centuric regarding the Service. If any provision is held unenforceable, the remainder shall remain in effect. Failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign in connection with a merger, acquisition, or sale of assets.
